Corporate Paralegal

Experienced paralegal role supporting the corporate legal function and Corporate Secretary’s office, which includes entity and subsidiary management, support of Board and Committee meeting preparation (including maintenance of Diligent board book portal), corporate governance matters, disclosure and SEC filings, and contracts management process, and support to the Company’s in-house counsels.

PRIMARY RESPONSIBILITIES

Entity management and statutory filings for all subsidiaries in all jurisdictions, including annual reports, certificates, and assumed business names; create, convert, and withdraw or dissolve entities as necessary
Prepare consents and resolutions for subsidiaries, including annual meeting, stockholder, and board action; manage stock ledgers and certificate creation
Maintain corporate record books for all entities
Manage all aspects of document preparation for the Board book (Diligent Administrator experience a plus), including coordination of all corporate department submissions for inclusion
Support Corporate Secretarial function by creating minute drafts for Board and Committee meetings
Create and manage annual calendar of scheduled Committee and full Board of Director meetings
Provide support to in-house counsel, including preparation of various legal documents, confidential communications with Board of Directors and senior management
Organize and track all required SEC filings, maintain report of Directors & Section 16 Officers’ equity holdings for required periodic reporting
Prepare drafts and file Form 3’s, 4’s, and POAs for Section 16 Officers and Directors
Support proxy process, including development of proxy timeline and proxy back up materials support
Create and administer D&O Questionnaires on Diligent
Assist with management of Board and Committee evaluation process
Organize annual shareholders meeting, draft all required documents, including script, reports, affidavit, etc.
Support department management with budget and reforecasting process
Manage departmental online and paper subscriptions, memberships and registrations, legal reference resources, and professional affiliations
Maintain contracts management portal and support contracts management process

REQUIREMENTS

Bachelor degree and/or Paralegal Certificate
At least 7-10 years’ experience as a paralegal in a law firm or in-house corporate law department with significant experience in corporate governance, entity management, and securities matters
Strong interpersonal skills and ability to interact with all levels of management
Ability to identify and prioritize issues and problem solve
Ability to manage multiple priorities under short deadlines while maintaining confidentiality of matters
Ability to work both collaboratively with team members and independently with minimal supervision
Strong client service orientation
Excellent organizational and communication skills (oral and written)
